These Terms & Conditions govern the provision of digital marketing consultancy services to businesses and individual consumers (“Clients”).
Nothing in these Terms excludes or restricts any statutory rights or remedies that cannot lawfully be excluded.
2. Services
VladBoost provides independent digital marketing consultancy, including:
- Digital Marketing Audits;
- Digital Marketing Strategies;
- Lead Funnel Audits;
- Individual Online Consultations;
- Other marketing advisory services agreed with the Client.
Services may be provided remotely or in person, subject to agreement.
The specific scope, deliverables, price and estimated timescale will be confirmed before the Client places an order. Any additional work outside the agreed scope may require a separate quotation and payment.
3. Nature of Advice and Professional Judgement
VladBoost provides independent professional opinions, analysis and recommendations.
Audits, assessments, strategies, reports and consultations reflect the Service Provider’s professional judgement based on the information reasonably available at the time, the agreed scope of work and the assumptions identified in the deliverable.
Digital marketing is not an exact science. Different qualified professionals may reasonably reach different conclusions or recommend different approaches.
The Client acknowledges that an audit or strategy is an advisory service, not a certification that any particular marketing approach is correct or guaranteed to succeed.
The Client’s subjective disagreement with an assessment, opinion, recommendation, presentation style or commercial conclusion does not, by itself, mean that the Services have been performed incorrectly or create an automatic entitlement to a refund.
This clause does not reduce the Service Provider’s obligation to perform the Services with reasonable care and skill or affect any applicable statutory remedies.
4. No Guarantee of Commercial Results
VladBoost does not guarantee:
- Increased sales, revenue, profit or return on investment;
- Any particular number or quality of leads;
- Improved conversion rates;
- Increased website traffic;
- Higher search engine rankings;
- Lower advertising costs;
- Approval of advertisements or accounts by third-party platforms;
- Any other specific business, financial or marketing outcome.
Actual results depend on factors outside VladBoost’s control, including market conditions, competition, advertising budgets, customer behaviour, technical implementation, platform algorithms and the Client’s own business decisions.
Any examples, projections, forecasts or estimates are illustrative professional assessments, not promises of future performance.
5. Client Responsibilities
The Client agrees to provide accurate, relevant and reasonably complete information necessary for the agreed Services.
The Client remains responsible for:
- The accuracy and legality of information supplied;
- Decisions about whether and how to implement recommendations;
- Advertising expenditure and other third-party costs;
- Their own legal, regulatory and platform compliance;
- The performance of their business and marketing activities.
Where information is incomplete, inaccurate or unavailable, VladBoost may explain relevant assumptions or limitations in its findings.
6. Enquiries, Orders and Contract Formation
Clients may contact VladBoost through the website contact form, email, telephone or WhatsApp.
An initial enquiry does not create a binding contract.
Before work begins, VladBoost will confirm the agreed Services, scope, price, delivery arrangements and any material conditions in writing, normally by email or another durable written record.
Unless otherwise agreed, a contract is formed when the Client accepts the confirmed terms and VladBoost accepts the booking or order. Payment may be required before work is scheduled or commenced.
For consumers, any legally required pre-contract information and cancellation information will be provided before the contract becomes binding.
7. Fees and Payment
Unless otherwise agreed in writing, 100% payment is required in advance by bank transfer.
Prices will be confirmed before the Client commits to purchasing the Services. Any applicable taxes or additional charges will be disclosed as required by law.
Work may be scheduled or commenced only after payment has been received.
Additional Services or substantial changes to the agreed scope may be quoted separately.
8. Delivery and Timescales
Delivery dates and timescales will be agreed individually.
VladBoost will make reasonable efforts to meet agreed dates but is not responsible for delays caused by missing Client information, unavailable third-party systems or circumstances beyond reasonable control.
Where a specific delivery date is contractually essential, this should be expressly agreed in writing.
9. Consultation Rescheduling and Cancellation
Clients are requested to provide at least 24 hours’ notice when cancelling or rescheduling a consultation.
Where less than 24 hours’ notice is given, VladBoost may decline a discretionary rescheduling or refund request for a reserved appointment, taking account of work already undertaken and any applicable legal rights.
This policy does not override statutory cancellation rights, remedies for services not supplied with reasonable care and skill, or other mandatory consumer protections.
If VladBoost cancels a consultation, the Client will be offered an appropriate alternative appointment or a refund for the affected service.
10. Consumer Cancellation Rights
Where a Client purchases Services as a consumer through a distance or off-premises contract, applicable UK consumer cancellation rights may include a 14-day cancellation period.
Before entering such a contract, VladBoost will provide the cancellation information required by law.
If a consumer expressly requests that Services begin during the statutory cancellation period, the consequences of that request will be explained and any required express request or acknowledgement obtained.
Where a consumer validly cancels after requesting early performance, a proportionate charge may be payable for Services already supplied, where permitted by law.
Where Services have been fully performed during the cancellation period, cancellation rights may be affected only where the applicable legal requirements have been satisfied.
Nothing in this section removes rights granted by applicable consumer law.
11. Refunds, Concerns and Complaints
Refund requests will be assessed individually, having regard to the agreed scope, work performed, applicable contractual terms and the Client’s statutory rights.
A Client’s personal dislike of, or disagreement with, an audit’s conclusions or recommendations does not, on its own, establish a failure to perform the agreed Services.
If a Client believes that a Service was incomplete, did not match the agreed description or was not performed with reasonable care and skill, they should contact enquiries@vladboost.com and explain the concern, identifying the relevant deliverable or issue where reasonably possible.
VladBoost will review the concern and seek an appropriate resolution. Depending on the circumstances and applicable law, this may include clarification, correction, repeat performance, a price reduction or a refund.
Nothing in this complaints procedure makes a Client’s statutory rights conditional on following a particular process.
12. Third-Party Platforms and Information
VladBoost may discuss or assess services operated by third parties, including search engines, advertising platforms, analytics providers and website technologies.
VladBoost does not control those platforms and cannot guarantee their continued availability, policies, pricing, algorithms, data accuracy or decisions.
Unless expressly agreed, VladBoost does not provide legal, tax, accounting, investment or other regulated professional advice.
13. Intellectual Property and Deliverables
Unless otherwise agreed in writing, VladBoost retains ownership of its pre-existing methodologies, templates, know-how and materials.
Following full payment, the Client receives a non-exclusive licence to use the final reports, audits, strategies and recommendations delivered specifically for the Client’s own internal business or personal purposes.
The Client may not resell, commercially redistribute or present VladBoost’s materials as their own consultancy product without prior written permission.
The Client retains ownership of information and materials they supply.
14. Confidentiality and Personal Data
VladBoost will take reasonable steps to keep non-public Client information confidential, except where disclosure is authorised, necessary to provide the Services or required by law.
Personal data will be handled in accordance with the VladBoost Privacy Policy and applicable data protection law.
Where a particular engagement requires VladBoost to process personal data on behalf of a business Client, the parties may need a separate data processing agreement.
15. Liability
VladBoost will exercise reasonable care and skill when providing the Services.
To the extent permitted by applicable law, VladBoost is not responsible for losses arising solely from the Client’s independent implementation decisions, changes to third-party platforms or outcomes that were not promised under the agreed Services.
For business Clients only, and subject to applicable law, VladBoost excludes liability for indirect or consequential commercial losses, including lost profits, lost revenue and lost business opportunities, except where such exclusion would be unlawful or unreasonable.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any other liability that cannot lawfully be limited or excluded.
Nothing in these Terms limits a consumer’s statutory rights, including rights under the Consumer Rights Act 2015.
16. Changes to These Terms
VladBoost may update these Terms from time to time.
Changes will not retrospectively alter an existing contract without an appropriate legal basis or the parties’ agreement.
The version applicable to an order will ordinarily be the version provided or made available when that order was accepted.
17. Governing Law
These Terms are governed by the applicable laws of England and Wales, subject to any mandatory consumer protections or jurisdictional rights that apply to the Client.
